This Subscription & User Agreement ("Agreement") is entered into between SeeMeSign Software LLC, a Utah limited liability company ("TruDOQ," "we," "us," or "our"), and the individual or entity that creates an account and/or subscribes to the TruDOQ electronic signature platform ("Subscriber," "User," or "you").
This Agreement governs your access to and use of the TruDOQ platform and all associated features, tools, templates, documents, and services (collectively, the "Service"). It supplements and incorporates by reference our Terms of Service and Privacy Policy. In the event of a conflict, this Agreement governs with respect to subscription and billing terms.
By registering for an account, clicking "I Agree," selecting a subscription plan, or accessing and using the Service in any manner, you confirm that:
TruDOQ is a cloud-based electronic signature and document management platform. The Service enables users to create, send, sign, and manage legally binding electronic documents. Core features available across plans include:

The following plans are available for individual subscribers. All prices are in U.S. dollars (USD). Seat counts on all plans are fixed as described.

Team Essential and Business Pro include Audit Trail and Brand Identity (logo and primary brand colors). Enterprise Plus adds Company-Wide Oversight and Premium Brand Integration. Custom Solutions are scoped per agreement with the TruDOQ sales team. All team and enterprise plans include No-Registration Signing and TruProof™ Signer Photo.
TruDOQ reserves the right to change subscription pricing at any time. We will provide at least thirty (30) days' advance notice of any price increase before it takes effect on your renewal date. Your continued subscription after the notice period constitutes acceptance of the new pricing.
When you subscribe to a paid plan, you authorize TruDOQ to charge your payment method on a recurring basis as follows:
Upgrade: If you upgrade to a higher-tier plan, you will be charged the prorated difference at the time of the upgrade, based on unused value remaining in your current billing period. For annual subscribers, the credit calculation accounts for your remaining months and any usage already consumed during the current month.
Downgrade: If you downgrade to a lower-tier plan, any remaining value from your current plan will be applied as a credit toward future billing. No cash refunds are issued. Your current plan features remain active until the end of the current billing cycle, at which point the lower-tier plan takes effect.
Switching between annual and monthly billing: If you switch from an annual plan to a monthly plan before your annual term ends, the annual discount received for months already used will be recaptured. No credits or monetary value will be applied toward future billing periods as a result of a plan change solely due to billing cadence switch. Full details of how credits and charges are calculated are available in our Billing Policy.
If a payment fails, TruDOQ may retry the charge and/or suspend your access to the Service until payment is resolved. Continued non-payment may result in account termination.
All subscription fees are exclusive of applicable taxes. You are responsible for all sales, use, or similar taxes applicable to your subscription based on your location.
The Free plan provides access to the Service at no cost, subject to the usage limits described in Section 4.1. No payment method is required. TruDOQ reserves the right to modify, limit, convert to a time-limited trial offering, or discontinue the Free plan at any time, with reasonable prior notice to affected users. Users on the Free plan access the Service without charge and acknowledge that TruDOQ's liability to Free plan users shall not exceed $25.00 USD in the aggregate, as further described in Section 11.
Electronic signatures created through TruDOQ are designed to comply with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA), as adopted in applicable states. TruDOQ's audit trails, TruProof™ Signer Photo, and timestamp records are intended to support the authenticity and enforceability of signed documents.
However, TruDOQ does not provide legal advice. It is your sole responsibility to verify that electronic signatures are valid and enforceable for your specific documents, counterparties, and jurisdiction. Certain document types (e.g., wills, certain real estate transactions, court filings) may require wet ink signatures under applicable law. TruDOQ is not responsible for any document determined to be unenforceable.
You agree to use the Service only for lawful purposes and in accordance with this Agreement and our Terms of Service. Prohibited uses include, but are not limited to:
TruDOQ may suspend or terminate your account immediately and without notice for any violation of this section.
TruDOQ's collection, use, and storage of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. Key points:
All intellectual property rights in and to the TruDOQ platform — including the software, website, trademarks, the TruProof™ technology, logos, and all associated content — are owned by or licensed to SeeMeSign Software LLC and are protected under U.S. and international intellectual property laws. This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted herein. No other rights are granted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TruDOQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TruDOQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
TruDOQ's total liability to you shall not exceed the amounts set forth below, based on your subscription plan at the time of the claim:

For the avoidance of doubt, Free plan users' aggregate liability cap is $25.00 USD regardless of the nature or number of claims. The caps above apply in aggregate across all claims arising from the same or related circumstances.
You agree to indemnify, defend, and hold harmless SeeMeSign Software LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of this Agreement; (c) your violation of any applicable law or the rights of any third party; or (d) any documents you sign, send, or process using the Service.
TruDOQ may suspend or terminate your account and access to the Service at its discretion, with or without notice, including for:
You may also delete your account at any time from your account settings. Upon termination, your license to use the Service ceases immediately. You should download your documents prior to termination. TruDOQ is not liable for loss of data following account closure.
TruDOQ reserves the right to modify this Agreement at any time. We will notify you of material changes by email or via a notice on the platform at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the revised Agreement. If you do not agree, you must cancel your subscription and discontinue use of the Service before the effective date.
This Agreement is governed by the laws of the State of Utah and the United States of America, without regard to conflict of law principles. Governing law applies regardless of where you are located or where any dispute is heard.
Any dispute arising out of or related to this Agreement or the Service shall first be submitted to good-faith negotiation between the parties. If not resolved within thirty (30) days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its then-current rules. Arbitration may be conducted in Utah County, Utah, or remotely via videoconference at either party's election. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. You waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration.
Subscribers to Enterprise Plus or Custom Solutions plans may execute a separate Enterprise Agreement or Order Form, which shall supplement this Agreement. In the event of a conflict between an Enterprise Agreement and this Agreement with respect to enterprise-specific terms, the Enterprise Agreement controls. Your TruDOQ account executive will provide applicable documentation during onboarding.
Entire Agreement: This Agreement, together with the Terms of Service, Privacy Policy, Billing Policy, and any applicable Order Forms or Enterprise Agreements, constitutes the entire agreement between you and TruDOQ regarding the Service.
Severability: If any provision of this Agreement is held unenforceable, the remaining provisions continue in full force and effect.
Waiver: TruDOQ's failure to enforce any provision shall not constitute a waiver of its right to do so in the future.
Assignment: You may not assign or transfer your rights under this Agreement without prior written consent from TruDOQ. TruDOQ may freely assign its rights and obligations.
Force Majeure: TruDOQ is not liable for delays or failures in performance resulting from causes beyond its reasonable control.
Notices: TruDOQ may provide notices by email to the address on your account or by posting on the platform. You are responsible for keeping your email address current.
